Please read these terms carefully before using the Tidal platform or website.
By accessing or using the Tidal website at tidal.supply or the Tidal software platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you (or the organisation you represent) and Tidal Software Inc., a company registered in India ("Tidal", "we", "us", or "our").
Tidal is an AI-native RFQ (Request for Quotation) automation platform designed for maritime ship chandlers and distributors. The Service includes:
You must be at least 18 years of age and authorised to enter into contracts on behalf of your organisation to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at sarah@tidal.supply if you suspect unauthorised access.
You agree not to:
You retain full ownership of all data you upload, configure, or generate through the Service — including RFQ content, product catalogues, pricing rules, client information, and transaction records. Tidal does not claim any ownership rights over your business data.
By using the Service, you grant Tidal a limited, non-exclusive licence to process your data solely for the purpose of delivering the Service to you. This licence terminates when your subscription ends or your account is closed, subject to any applicable retention obligations.
Access to the Tidal platform is provided on a subscription basis, starting from USD 2,500 per month. Specific pricing, billing cycles, and payment terms are set out in your order form or subscription agreement. Fees are non-refundable unless otherwise stated in writing. We reserve the right to modify pricing with 30 days' written notice.
All intellectual property rights in the Service — including the software, AI models, user interface, documentation, and Tidal brand assets — are owned by or licensed to Tidal Software Inc. Nothing in these Terms grants you any right to use Tidal's name, logos, or trademarks without prior written consent.
Feedback, suggestions, or ideas you provide about the Service may be used by Tidal without restriction or obligation to you.
Each party agrees to keep the other's confidential information (including business data, pricing, and technical details) strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of these Terms.
The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, Tidal makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated outputs will be 100% accurate. You are responsible for reviewing all quotes before sending them to customers.
To the fullest extent permitted by applicable law, Tidal's total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total fees paid by you to Tidal in the three months preceding the claim. In no event shall Tidal be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.
Either party may terminate these Terms upon 30 days' written notice. Tidal may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe is harmful to the Service or other users. Upon termination, you may request an export of your data within 30 days. After that period, data will be deleted in accordance with our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India. Before initiating formal proceedings, you agree to contact us in good faith at sarah@tidal.supply to attempt to resolve the dispute informally.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. The "Last updated" date at the top of this page will be revised accordingly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
